Plans and Pricing Annex

Plan prices, limits and features, the building period, add-ons, AI credits, domain names and the refund rules.

In force from

1. General provisions

1.1. This annex (hereinafter: “Annex”) is the PLANS AND PRICING ANNEX published with an effective date pursuant to clauses 3.3, 9.2 and 9.15.1 of the GENERAL TERMS AND CONDITIONS (hereinafter: “Terms”) governing the use of the Platform operated by WZZ Lab Informatikai és Szolgáltató Korlátolt Felelősségű Társaság (hereinafter: “Provider”). The Annex forms part of the Terms.

1.2. The Annex determines the fees, volume limits and feature scope of each Plan, the framework of the building period, the fees and terms of add-ons and AI Credit packs, the rules for determining domain name-related fees, as well as the detailed rules for fee calculation and the application of limits. The general order of Orders, billing, renewals, plan changes, cancellations, refunds and amendments is set out in Chapters 9 and 18 of the Terms; the Annex does not repeat these, and departs from them exclusively where expressly permitted by the Terms.

1.3. Capitalised terms used in the Annex have the meaning defined in Chapter 2 of the Terms. For the purposes of the Annex, furthermore:

1.3.1. Monthly Billing Period: the period from the billing date to the next monthly billing date. In the case of a monthly billing cycle, the Monthly Billing Period is identical to the billing period; in the case of an annual billing cycle, the annual billing period is divided into twelve consecutive Monthly Billing Periods;

1.3.2. AI Credit pack: a quantity of AI Credits that may be purchased for a one-off fee in excess of the quantity included in the Plan pursuant to clause 8.3;

1.3.3. time: times and days specified in the Annex are to be understood according to the Europe/Budapest time zone;

1.3.4. Plan Version: the totality of plan content, fee and limits according to the text of the Annex effective at the time of the given Order, identified by its effective date;

1.3.5. billing details: the totality of data provided by the Merchant pursuant to clause 4.3.2 of the Terms, to which the settlement of fees is linked. The settlement pertaining to the billing details extends to all subscriptions linked to them.

1.4. References to clauses and Chapters without specifying the Terms refer to the given clause or Chapter of the Annex.

1.5. The Provider displays the Plans, fees and limits on the public pricing interface and on the Administration Interface in accordance with the effective version of the Annex. In the event of a discrepancy – except in the case of an obviously incorrect fee under clause 9.13 of the Terms – the Plan Version and fee displayed in the summary of the Order and recorded in the Order Record shall prevail.

1.6. The Annex shall apply to Orders placed after its entry into force; existing subscriptions shall be governed by clause 9.11 of the Terms. Effective and archived versions of the Annex are available pursuant to clause 20.10 of the Terms.

2. General rules on fees

2.1. The fees indicated in this Annex are net fees, which are subject to tax under the applicable tax legislation pursuant to clause 9.4 of the Terms.

2.2. The Provider determines fees in Forints (HUF) and Euros (EUR). The Merchant chooses the currency when first providing its billing data. It is emphasised that the chosen currency cannot subsequently be modified in the settlement associated with the given billing data. The fee according to the chosen currency shall apply to the Merchant; fees determined in the two currencies cannot be converted into each other.

2.3. The payment methods available in each currency shall be governed by clause 9.4 of the Terms.

2.4. Under this Annex, the fee for an AI Credit pack and the fee for an operation related to a domain name qualify as a one-off fee under clause 9.2 of the Terms. The Provider does not charge setup or other one-off fees.

3. Plans and fees

3.1. The Service may be used under the following Plans:

Plan Monthly fee Annual fee (12 months, payable in advance in one lump sum) Monthly equivalent of the annual fee
Start 5,990 HUF / 18 EUR 59,880 HUF / 180 EUR 4,990 HUF / 15 EUR
Plus 11,990 HUF / 36 EUR 119,880 HUF / 360 EUR 9,990 HUF / 30 EUR
Pro 29,990 HUF / 90 EUR 299,880 HUF / 900 EUR 24,990 HUF / 75 EUR

3.2. For the purposes of clause 9.3 of the Terms, the annual fee is the amount itemised in the table in clause 3.1; the annual fee need not be calculated retrospectively on the basis of a percentage discount or free months. The monthly equivalent is one-twelfth of the annual fee, which is exclusively informative comparative data; in an annual billing cycle, no fee payable in monthly instalments arises.

3.3. Each Plan confers the right to operate one Store.

4. Quantitative limits

4.1. The quantitative limits of the individual Plans are as follows:

Limit Start Plus Pro
Team members (Users entitled to log in to the Administration Interface) 1 5 20
Languages (display languages of the Store) 1 5 10
Products 500 5,000 100,000
AI Credits per Monthly Billing Period 1,000 5,000 20,000
Customer support agents 1 3 10
Message channels 1 2 2
Monthly conversations 100 1,000 10,000
Active product feeds (product feed exports) 3 10 50
Wholesale price tiers 3 10 1,000
Companies assignable to a company account – 50 100,000
Order fields 3 10 50
Maximum size of a PDF, downloadable or purchasable file 250 MB 1,024 MB 4,096 MB
Downloadable files per product or product variant 20 50 100
Store capacity (simultaneously operable serving units) 2 3 4

4.2. The limits under clause 4.1 represent the upper limit of the quantity existing simultaneously in the Store, with the following exceptions: (a) the limit on AI Credits and monthly conversations resets per Monthly Billing Period, monthly even in the case of an annual billing cycle, and the unused quantity may not be carried over to the next Monthly Billing Period; (b) the maximum file size is the upper limit for individual files, and the number of downloadable files is the upper limit for individual products or product variants.

4.3. The monthly conversations limit applies to the number of customer conversations newly initiated in the Monthly Billing Period. Reaching the limit does not prevent Customers from sending messages and the Merchant from replying; following the reaching of the limit, only the AI responses operating in automatic mode under the ARTIFICIAL INTELLIGENCE ANNEX shall be suspended until the beginning of the next Monthly Billing Period.

4.4. A suspended product feed shall not count towards the limit on active product feeds.

4.5. Store capacity means the maximum number of serving units that may be operated simultaneously to serve the public interface of the Store during traffic peaks. It is emphasised that Store capacity does not contain any availability, response time or performance commitment; such commitment may exclusively be contained in the AVAILABILITY AND SUPPORT ANNEX.

4.6. For the purposes of clause 8.8 of the Terms, if a limit is reached, no new item may be created in the affected scope, nor may an existing one be enabled; already existing data shall remain unchanged.

4.7. If the quantity existing in the Store exceeds the applicable limit, the Provider shall restrict the items exceeding the limit in the following order. For the purposes of this clause, exceeding the limit shall be deemed to include in particular, but not limited to, where the excess is the consequence of any of the following: (a) a plan change to a lower-priced Plan; (b) a lower limit of the Plan selected upon going live following the building period; or (c) the termination of an add-on.

Suspension due to fee arrears under clause 9.12.3 of the Terms is distinct from restriction as described above: during the term of the suspension, until the fee arrears are settled, in accordance with clause 9.12.3 of the Terms the public interface of the Store is not accessible, and thus the continued public operation of the Store is excluded. During the suspension, in respect of the Administration Interface and stored items, the limits of the lowest-priced Plan sellable at the given time shall apply (in the event of exceeding which clauses 4.7.1–4.7.3 shall apply), with the proviso that the AI Credit included in the Plan shall not be available in such cases, free credits – including the starter quota under clause 6.3 – may not be used, and purchased AI Credits may not be used either.

4.7.1. The Provider shall lock, suspend or disable items exceeding the limit; the restriction does not entail data deletion.

4.7.2. Restriction shall begin with the most recently recorded items in the chronological order of the items being recorded on the Platform. In the event of a subsequent expansion of the limit, unlocking shall begin with the earliest restricted items. Upon termination of the suspension due to fee arrears under clause 9.12.4 of the Terms, the Provider shall unlock items restricted solely due to the suspension within the limits of the applicable Plan.

4.7.3. The following shall not be subject to restriction: (a) among team members, the Merchant’s User with owner permissions, the User creating the Store, and the User authorised to pay fees; (b) among customer support agents, the Merchant’s User with owner permissions and the User creating the Store; and (c) the default language of the Store. If the number of items protected from restriction exceeds the applicable limit, the protected items shall remain unrestricted even in excess of the limit; no new item may be added until the existing quantity falls below the limit.

4.7.4. A restriction taking place for a reason other than fee arrears shall also take effect on the public interface of the Store, including in particular, but not limited to, that a locked product cannot be placed in the cart, the default language of the Store is displayed instead of the disabled language, and the affected message channel or order field is suspended. In the event of suspension due to fee arrears, the public interface is not accessible at all under clause 9.12.3 of the Terms and clause 4.7.

4.7.5. The Provider shall inform the Merchant of the change involving restriction on the Administration Interface upon its scheduling, and if the restriction is the consequence of a scheduled plan change or other event known in advance, shall also notify it by email as follows: if at least 3 days are available between the scheduling and the occurrence of the restriction, at least 3 days before the restriction occurs; in case of a shorter time, without delay upon scheduling. In the event of fee arrears, notification shall be governed by clause 9.12 of the Terms.

4.8. If, as a consequence of a plan change to a lower-priced Plan, a feature related to product feeds ceases, (a) the Provider shall suspend the product feeds linked to a marketplace sales channel, and active offers published on the marketplace sales channel shall cease; (b) the Google Merchant Center connection shall switch to transmission via the URL of the product feed; (c) the Provider shall disable product feed rules applying the ceased feature. Orders already placed shall not be affected by the change.

5.3. To the use of a feature implemented through a service provided by a third party – including in particular, but not limited to, features related to courier services and marketplace sales channels –, Chapter 19 of the Terms shall also apply; the fees of the third party are not part of the fees specified in the Annex.

6. Building period

6.1. During the building period under clause 3.6 of the Terms, the Store may be prepared without an obligation to pay fees, within the following framework:

Limit Building period
Team members 2
Languages 2
Products 500
Active product feeds 0
Wholesale price tiers 3
Order fields 3
Maximum size of a PDF, downloadable or purchasable file 250 MB
Downloadable files per product or product variant 20

6.2. During the building period, the AI assistant on the Administration Interface, AI translation, AI-based store design, wholesale price tiers and product notifications are available. Customer messages and further features under clause 5.1 are not available during the building period. It is emphasised that certain limits of the building period are higher than the limits of the Start Plan, and the Start Plan does not include AI-based store design; clause 4.7 shall apply to going live with the Start Plan.

6.3. The Provider provides a one-off, free initial allowance consisting of 1,000 AI Credits to a Store that is in the building period and has not previously gone live, subject to the following conditions:

6.3.1. the initial allowance is credited once per Store, following verification of the Merchant’s email address, at the latest upon the first use of the AI Service;

6.3.2. the initial allowance may be used for 365 days from its crediting;

6.3.3. the Provider may limit the number of Stores per Merchant entitled to the initial allowance; Stores already deleted may also be taken into account when calculating the limit;

6.3.4. the initial allowance does not cease upon the Store going live, and may be used within its validity period in the order under clause 8.7;

6.3.5. the initial allowance cannot be converted into cash, cannot be transferred and does not entitle to a refund.

6.4. The inactivity, locking and deletion of a Store in the building period shall be governed by clauses 3.8 and 18.11–18.12 of the Terms.

7. Add-ons

7.1. The Plan limits may be extended with the following add-ons:

Add-on Content of one unit Monthly fee
Team member +1 team member 1,990 HUF / 6 EUR
Product quota +1,000 products 2,990 HUF / 9 EUR
Language +1 language 1,990 HUF / 6 EUR
Customer support agent +1 customer support agent 2,490 HUF / 7 EUR
Messaging channel +1 messaging channel 1,990 HUF / 6 EUR
Monthly conversations +1,000 monthly conversations 2,990 HUF / 9 EUR

7.2. The fee for the add-on is a monthly fee, which the Provider bills monthly even alongside a Plan with an annual billing cycle. In the event of a change from a monthly to an annual billing cycle, monthly billing of the add-on continues from the date of the change, aligned with the new billing date, with pro-rata settlement under clause 9.1.

7.3. The add-on may be purchased in the quantity available alongside the given Plan on the Administration Interface. This Annex does not specify a maximum quantity per add-on. The Monthly conversations add-on may only be purchased alongside the Plus and Pro Plans.

7.4. The purchase of an add-on, the increase or decrease of its quantity, and its cancellation shall be governed by clause 9.8.4 of the Terms. In the event of a plan change, the add-on shall remain with an unchanged quantity, unless the given add-on cannot be purchased alongside the new Plan, or its subject matter is included in the new Plan. In such case, the add-on shall terminate upon the plan change taking effect; in the case of an immediately effective plan change, the pro-rata fee paid for the unused period of the add-on shall be recorded by the Provider as a balance credit in accordance with clause 9.2, and in the case of a plan change taking effect at the end of the billing period, the add-on shall terminate at the end of the period, without settlement.

8. AI Credit

8.1. The AI Credit included in the Plan is provided in the quantity under clause 4.1, at the beginning of each Monthly Billing Period, monthly even in the case of an annual billing cycle. The unused quantity lapses at the end of the Monthly Billing Period and may not be carried over to the following period.

8.2. In the event of a plan change, the AI Credit included in the Plan shall be determined as follows:

8.2.1. upon changing to a higher-fee Plan, the difference between the monthly credit quantities of the two Plans may be used from the taking effect of the change;

8.2.2. in the event of changing to a lower-fee Plan, the quantity under the new Plan shall apply from the first Monthly Billing Period following the taking effect of the change; the quantity already credited may be used until the end of the given Monthly Billing Period;

8.2.3. repeated plan changes within the same Monthly Billing Period shall not result in a double credit for the same quantity;

8.2.4. if the Monthly Billing Period – in particular due to a change in the billing date or the initial assignment of billing data – is shorter than a full monthly period, the Provider shall credit the quantity attributable to the period in proportion to the calendar days of the period.

8.3. In addition to the quantity included in the Plan, the following AI Credit packs may be purchased for a one-off fee:

AI Credit pack One-off fee
1,000 AI Credit 1,490 HUF / 5 EUR
5,000 AI Credit 6,490 HUF / 19 EUR
20,000 AI Credit 22,900 HUF / 69 EUR

8.4. The AI Credit pack may be used until the end of the Monthly Billing Period current at the time of purchase, that is, until the nearest monthly billing date, even in the case of an annual billing cycle. The unused quantity thereafter lapses, and may not be carried over. It is emphasised that in the event of a purchase close to the billing date, the usage period may be short. The Provider shall indicate the end of validity in the Order summary and on the Administration Interface prior to the purchase.

8.5. An AI Credit pack may be purchased exclusively for a live Store. No AI Credit pack may be purchased during the building period under Chapter 6, during the suspension due to fee arrears under clause 9.12.3 of the Terms, or while the purchase restriction under Chapter 12 is in effect. Purchased AI Credit shall be credited following payment of the fee.

8.6. During the suspension due to fee arrears under clause 9.12.3 of the Terms, purchased AI Credit already credited shall not lapse, but may not be used; following settlement of the debt, it may be used again within its validity period.

8.7. AI Credit shall be used in the following order: (a) the AI Credit included in the Plan; (b) the introductory allowance provided free of charge by the Provider and other free credits; (c) purchased AI Credit packs. Within each group, the quantity expiring earlier shall be used first. Any quantity reserved for a run but not used shall be returned to the quotas from which the reservation was made, in the reverse order of the order of use.

8.8. Following the exhaustion of the available AI Credit, further use of the AI Service involving credit consumption is not possible until the beginning of the next Monthly Billing Period, the purchase of an AI Credit pack, or changing to a higher-fee Plan. The Provider shall not charge an overage fee. Following the exhaustion of the AI Credit, AI-based fraud screening shall continue with limited functionality without the use of artificial intelligence; the content thereof is determined by the ARTIFICIAL INTELLIGENCE ANNEX. The Provider shall notify the Merchant on the Administration Interface and by email if the Merchant has used 80% of the monthly quantity included in the Plan, if the monthly quantity included in the Plan has been exhausted, and if the total available AI Credit has been exhausted.

8.9. For the purposes of clause 9.10 of the Terms, a refund may be made exclusively for unused and unexpired units of the purchased AI Credit pack, in the proportion of the pack fee corresponding to the number of unused units, together with the tax chargeable thereon. In the case of a disputed payment, no refund may be made until the conclusion of the dispute. The AI Credit included in the Plan, the introductory allowance, and other free credits do not entitle to a refund.

8.10. AI Credit is an accounting unit tied to the Store, which cannot be converted into money, may not be transferred to another Store or to a third party, and does not substitute legal tender or electronic money. The Provider does not fix a conversion rate between AI Credit and fees; the accounting of AI Credit is governed by clauses 2.15 and 9.15 of the Terms. Upon the termination of the Store, unused AI Credit shall lapse, subject to the refund under clauses 8.9 and 9.4.

9. Detailed fee calculation rules

9.1. The Provider shall determine the pro-rata difference and set-off pursuant to clause 9.8 of the Terms in whole calendar days. The day of the change shall qualify as an unused day; the pro-rata portion is the amount of the fee concerned multiplied by the quotient of the remaining days of the billing period and the total days of the billing period.

9.2. If the pro-rata settlement results in a difference in favour of the Merchant, the Provider shall record the amount – together with the tax applicable to it – as a balance credit in the settlement belonging to the Merchant’s billing details, and shall automatically set it off against subsequent invoices belonging to the same billing details, including invoices for other active subscriptions associated with them. Cash payment of the balance credit shall be governed by clause 9.10 of the Terms and clause 9.4.

9.3. If the amount payable due to a plan change, increased by tax, does not reach 175 HUF or 0.50 EUR, respectively, and is not covered by the available balance credit, the Provider shall not invoice the amount, and the plan change shall take effect free of charge. If, in the event of full set-off of the balance credit, the remaining amount to be charged would not reach this threshold, the Provider shall set off only such a portion of the balance credit that the amount to be charged corresponds to the threshold; the remaining part of the balance credit shall remain usable without change. A one-off purchase not reaching this threshold cannot be completed.

9.4. The Provider shall not refund Plan and add-on fees already paid, nor purchased AI Credits upon termination of the contract, except for the cases specified in clause 9.4.1. The Provider shall not refund purchased AI Credits outside the cases in clause 9.4.1 and refunds pursuant to clause 9.10 of the Terms.

9.4.1. The Provider shall refund the pro-rata portion, calculated pursuant to clause 9.1, of prepaid Plan and add-on fees corresponding to the unused period calculated from the date of termination – considering the date of termination as an unused day in accordance with clause 9.1 –, the existing balance credit, and the value of purchased, unexpired AI Credits pursuant to clause 8.9, if termination of the contract occurs due to one of the following reasons: (a) extraordinary termination by the Merchant pursuant to clause 18.10 of the Terms; (b) termination by the Merchant pursuant to clause 18.3 or 18.4 of the Terms due to a materially disadvantageous amendment, including a fee increase; (c) permanent discontinuation of the Service pursuant to clause 18.16 of the Terms, or phase-out of the Service component concerned pursuant to clause 15.11 of the Terms; (d) extraordinary termination by either Party pursuant to clause 16.5 of the Terms due to force majeure; (e) termination of the contract pursuant to clause 18.19.5 of the Terms due to switching providers; (f) termination by the Merchant pursuant to clause 7.5 of the DATA PROCESSING AGREEMENT due to an objection to a change of Sub-processor; or (g) extraordinary termination by the Provider pursuant to clause 18.9(c) or (e) of the Terms, to the extent permitted by restrictive measures and applicable law. In the case of partial termination, the Provider shall refund the pro-rata portion of the prepaid fee for the service component concerned. In the case of points (d)–(g), the Provider shall not refund the value of purchased AI Credits.

9.4.2. By way of derogation from clause 9.4 and the second sentence of clause 9.2, the following rules shall apply to balance credits. If another active subscription also belongs to the given billing details, the balance credit shall remain usable without change pursuant to clause 9.2. If no such additional subscription belongs to them, the Provider shall refund the existing balance credit – after setting off the Merchant’s overdue fee debt – also in the event of termination not falling under clause 9.4.1.

9.4.3. Refunds under this clause shall be made within 30 calendar days of the termination taking effect, to the original payment method; if the refund cannot be made to the original payment method, the Provider shall request bank account details from the Merchant, and the 30-day deadline shall be calculated from receipt thereof. This clause does not affect refunds due to erroneous or double charges by the Provider pursuant to clause 9.10 of the Terms, nor refunds mandatorily prescribed by applicable statutory provisions.

9.4.4. Forfeiture in the event of the Merchant’s material breach of contract. In the event of extraordinary termination by the Provider pursuant to clause 18.9(a), (b) or (d) of the Terms, the Merchant, as the party responsible for the breach of contract, shall, pursuant to Section 6:190 of Act V of 2013 on the Civil Code (hereinafter: the “Civil Code”), forfeit its right to a refund of prepaid Plan and add-on fees corresponding to the unused period following the date of termination, as well as purchased AI Credits. This clause does not affect the refund of balance credits pursuant to clause 9.4.2.

9.5. If clause 18.19 of the Terms applies, the Provider shall not charge a fee for the provider switching process specified therein (clause 18.19.6 of the Terms).

10. Fees relating to domain names

10.1. The Provider determines the fees for domain name registration, renewal and transfer available via the Platform per domain name extension, for an annual period, and the fee for restoring an expired domain name per operation. These fees do not form part of the Plan fee.

10.2. The Provider indicates the fee for an operation relating to a domain name on the Administration Interface prior to ordering the operation; the fee displayed and recorded in the Order summary shall govern for the Merchant. Domain name fees adjust to changes in registry fees, and therefore the Provider does not fix them in a public fee table.

10.3. The Provider provides the domain name operation against its own fee, as a reseller of the service of the domain name registry; Chapter 19 of the Terms shall also apply to the domain name registry and to the terms and conditions applied by the registry. Under the applicable registry rules, the right to use the domain name belongs to the person designated as the user of the domain name in the Order; the Provider does not qualify as the user of the domain name.

10.4. The following procedure applies to the renewal of domain names:

10.4.1. The renewal of a domain name registered on the Platform is automatic by default. The Merchant may turn off automatic renewal on the Administration Interface prior to the billing date of the given domain name period, and may turn it back on in the same place.

10.4.2. Where automatic renewal is turned on, the Provider charges the renewal fee on the billing date of the domain name period to the Merchant’s recorded payment method. The Provider sends a reminder to the Merchant by electronic mail on the 30th and 14th days prior to the charge.

10.4.3. Where automatic renewal is turned off, the Merchant may renew the domain name on the Administration Interface by manual renewal prior to expiry. The Provider sends repeated reminders by electronic mail concerning the approach of expiry.

10.4.4. If successful renewal does not take place by expiry, including where the charge fails, the domain name expires in accordance with the registry rules. Restoring an expired domain name is possible exclusively within the scope and time limit permitted by the registry rules, against payment of the restoration fee under clause 10.1; the Provider does not warrant the outcome of the restoration. The Provider shall not be liable for consequences resulting from expiry if automatic renewal was turned off or the charge failed due to the Merchant’s payment method and the Provider sent the reminders under this clause.

10.5. The following procedure applies to the identification of the user of the domain name:

10.5.1. The Merchant shall provide true, complete and up-to-date data of the person designated as the user of the domain name, record any changes thereto without delay, keep the specified electronic mail address in an accessible state, and monitor notices arriving there. The Merchant shall complete the identification, electronic mail address verification and declaration steps required by the Internet Corporation for Assigned Names and Numbers (ICANN), the registry, or the registry of the given domain name extension within the deadline specified by the registry.

10.5.2. In the event of failure to complete, delayed completion or untrue completion of an identification or declaration step, the registry may suspend the use of the domain name, refuse name resolution or delegation of the domain name, or cancel the domain name. The Provider shall not be liable for the consequences of such measures.

10.5.3. A domain name suspended, undelegated or deleted due to failure to complete an identification or declaration step may only be restored within the scope permitted by the registry rules, subject to the conditions and against payment of the fees specified therein. It is emphasised that the Provider does not warrant the possibility or outcome of restoration in such cases either; the Provider is not entitled and is not obliged to complete the omitted step in place of the Merchant.

10.6. The following procedure applies to the finality of domain name operations and the refund of fees:

10.6.1. Upon confirmation of the Order for a domain name operation, the Merchant’s payment obligation becomes final. An application submitted to the registry cannot be withdrawn; the data of the application may only be modified in the manner and to the extent permitted by the registry rules.

10.6.2. The fee for completed domain name registration, renewal, transfer and restoration does not entitle to a refund. Likewise, no fee shall be refunded if the failure of the operation, or the suspension or deletion of the domain name is attributable to a breach of the Merchant’s obligation under clause 10.5, the provision of untrue or incomplete data, or the lack of entitlement to use the domain name.

10.6.3. By way of derogation from clause 10.6.2, if the registry rejects the application or registration is not completed, and the failure is not attributable to a Merchant cause specified in clause 10.6.2, the Provider shall refund the fee already paid: in the case of payment made by payment card, to the original payment card, and in other cases by way of a balance credit. If the registry or the registry of the given domain name extension charges a fee after the rejected or failed operation, or does not refund the registry fee already paid, the Provider is entitled to deduct this registry fee from the amount of the refund under this clause; if the registry fee equals or exceeds the amount to be refunded, no refund is due. This right of deduction belongs to the Provider regardless of the extension, based on the registry pricing applicable from time to time. The deduction shall not apply if the failure is attributable to the fault of the Provider. This clause does not affect refunds due to erroneous or duplicate provider charges under clause 9.10 of the Terms.

11. Discounts and offers

11.1. The Provider may apply a discount, free introductory period or other offer (hereinafter: “Offer”) deviating from the fees specified in the Annex in favour of the Merchant. The Provider indicates the terms of the Offer – including in particular, but not limited to, the extent of the discount, the period and billing cycle concerned, the eligibility criteria and the deadline for taking it up – upon publishing the Offer and in the Order summary, and records them in the Order Record.

11.2. The Offer does not amend the fees of the Annex. Following the expiry of the Offer, the fee according to the Plan Variant recorded in the Order Record shall be payable. In the absence of information to the contrary, individual Offers may not be combined with one another.

11.3. In the case of an Offer containing a free introductory period, clause 9.6 of the Terms shall apply.

11.4. The Provider publishes the detailed terms of individual Offers simultaneously with announcing the Offer, in separate offer terms. The offer terms do not form part of the Annex, their publication and termination do not require an amendment of the Annex; the announced offer terms may be retrieved in a dated, archived copy. The terms of an Offer already taken up may not subsequently be amended to the detriment of the Merchant.

12. Disputed charge

12.1. If the Merchant disputes a payment made for the purchase of an AI Credit pack with its payment service provider, the AI Credit purchased with the disputed payment that has not yet been used and has not been reserved for a run may not be used until the dispute is closed. The suspension under this clause shall not affect the use of any quantity reserved for a run already started. If the dispute is closed in favour of the Provider, the AI Credit may be used again.

12.2. If the payment service provider decides the disputed charge in favour of the Merchant, the Provider:

12.2.1. shall terminate the unused AI Credit purchased with the disputed payment;

12.2.2. may demand payment of the disputed amount from the Merchant; and

12.2.3. may suspend new paid purchases associated with the Merchant’s billing details – including in particular, but not limited to, starting a Plan, changing to a higher-priced Plan, increasing an add-on, purchasing an AI Credit pack and a domain name, and manually renewing and restoring an existing domain name – until payment of the disputed amount or until the circumstances of the dispute are clarified by the Provider.

12.3. Clause 12.2 shall not apply if the charge was an erroneous or duplicate charge by the Provider under clause 9.10 of the Terms. The measure under clause 12.2 shall not affect the Merchant’s existing Plan, its renewal, the operation of the Store or any AI Credit not falling under clause 12.2.1. The other consequences of payment arrears shall be governed by clause 9.12 of the Terms.

13. Amendment of the Annex

13.1. Amendment of the Annex shall be governed by clauses 5.6, 9.11 and 9.15.5, as well as clauses 18.2–18.4 of the Terms.

13.2. The Provider may also extend a new Plan Variant or more favourable terms to existing subscriptions; such extension shall not contain any change to the detriment of the Merchant.
